Please read these Terms of Service ("Terms") and End-User License Agreement ("EULA") carefully before using the StudyTok Pro application (the "App") provided by StudyTok ("we," "us," or "our"). By accessing or using the App, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the App.

 

 

1. Acceptance of Terms

By downloading, installing, or using the StudyTok Pro App, you agree to comply with and be legally bound by these Terms. These Terms apply to all users of the App, including without limitation users who are contributors of content.

 

 

2. Definitions

• "App" refers to StudyTok Pro, including all updates, enhancements, and modifications.

• "User" refers to any individual who accesses or uses the App.

• "Content" refers to any text, images, audio, video, or other materials uploaded, downloaded, or otherwise accessed through the App.

• "Pro Features" refers to premium functionalities available to users who subscribe to StudyTok Pro

 

 

3. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App.

 

4. Restrictions

You agree not to:

• Modify, adapt, translate, or create derivative works based on the App.

• Reverse engineer, decompile, disassemble, or attempt to discover the source code of the App.

• Rent, lease, lend, sell, redistribute, or sublicense the App.

• Use the App for any unlawful purpose or in violation of any applicable laws.

 

 

5. User Accounts

To access certain Pro Features, you may be required to create an account. You agree to:

• Provide accurate and complete information during registration.

• Maintain the security of your account credentials.

• Notify us immediately of any unauthorized use of your account.

 

 

6. Subscription and Payment

6.1 Billing Cycle

Subscriptions are billed on a monthly basis. Your subscription will automatically renew at the end of each billing cycle unless you cancel it before the renewal date.

6.2 Refunds

All sales are final. We do not offer refunds except as required by law.

 

 

7. Intellectual Property

All rights, title, and interest in and to the App, including all related intellectual property rights, are owned by us or our licensors. These Terms do not grant you any rights to use our trademarks, logos, or service marks.

 

 

8. User Content

8.1 Ownership

You retain ownership of all Content you upload or submit through the App.

8.2 License to Us

By uploading Content, you grant us a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, and display your Content in connection with operating and providing the App.

8.3 Responsibility for Content

You are solely responsible for the Content you upload. You agree not to upload Content that is unlawful, infringing, defamatory, obscene, or otherwise objectionable.

9. Termination

We reserve the right to suspend or terminate your access to the App at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users or us.

10. Disclaimers

10.1 As-Is Basis

The App is provided on an "AS IS" and "AS AVAILABLE" basis. We disclaim all warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

10.2 No Warranty

We do not warrant that the App will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

11. Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use the App.

• Any unauthorized access to or use of our servers and/or any personal information stored therein.

• Any bugs, viruses, or other harmful components that may infect your device.​

12. Indemnification

You agree to defend, indemnify, and hold harmless StudyTok, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal fees and costs, arising out of or in any way connected with your access to or use of the App, or your violation of these Terms.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions.

14. Dispute Resolution

Any disputes arising out of or related to these Terms or the App shall be resolved through binding arbitration in Ireland, in accordance with the rules of the European Arbitration Centre (EAC). Judgment on the arbitration award may be entered into any court having jurisdiction thereof.

15. Modifications to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of such changes by updating the "Effective Date" and, in some cases, providing additional notice (e.g., email). Your continued use of the App after the effective date constitutes your acceptance of the new Terms.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms constitute the entire agreement between you and StudyTok regarding the use of the App and supersede all prior agreements and understandings, whether written or oral.
